Terms of use for: The RecycledLives, Inc.^™

This Agreement was ratified on October 31st 2005.

When you sign up for any service with in the RecycledLives, Inc. you agree to all the terms and conditions of this ratified agreement.

Please review the following terms and conditions carefully as they form an agreement between us. If you do not agree to these term and conditions as set out you may not use the service and should not proceed to place a personal ad. By using the service after October 31st 2005, you are agreeing to be bound by this ratified agreement, including all amendments to date and relevant amendments in the future.

NOTE: We (RecycledLives, Inc.) do not use, employ or condone any "date bait", or fictitious client practices. Should anyone posing or purporting to be an employee, affiliate, impersonate, induce, or level any claims Please notify manager@recycledlives.com any such claims will be followed up and pursued legally to the fullest extent of the law. This site is for entertainment purposes and avenues for connecting people together only, and though we do not and cannot guarantee chance outcomes and/or responses it is up to the User to make the decision and use judgment when responding to or interacting with potential acquaintances. Any type of behavior(s) is against our Code of Ethics. Please see our Code of Ethics.

User Agreement

This agreement constitutes your agreement with RecycledLives Inc. Men, Women, Singles and Couples within the gamut not excluding preferences etc. With your use to respect of the Service. You agree to abide by all the terms and conditions contained in this Agreement in order to become or remain an authorized user of the service. As used in this Agreement, "we" and "us", "our" means RecycledLives Inc. or any successor or assign of RecycledLives, Inc.

Right to Use:

Your right to use the service is subject to any limitations, conditions, and restrictions established by us from time to time, in our sole discretion. We may alter, suspend, or discontinue any aspect of the service at anytime, including the availability of any service feature, database or content. Limits maybe imposed by us on certain features and aspects of the service or alternatively restrict access to parts or all of the service without liability or notice. You warrant and release and waive any liabilities against Recycledlives, Inc. and its' companies.

Adult Eligibility:

You represent, warrant and covenant that you are at least the age of majority 20 years of age and with respect to your age in Canada and various parts of the United States of America. As well, and not excluding European Nations.

Code of conduct:

You agree to use the service in accordance with the following codes of conduct:

You will keep all information private and confidential provided to you through the service, and will not give such information to anyone without the expressed written permission of the person who provided it to you;
You will not use the service to engage in any form(s) of harassment, bullying, and offensive behavior, not withstanding Acts of Terrorism. Including but not limited to the posting of communications, pictures, or recordings which contain libelous, slanderous, abusive, or defamatory slurs or statements, or any racist, or racism to gender, pornographic, obscene, or offensive behavior or language;
You will not forward chain letters through the service;
You will not use this service to infringe the privacy rights, property rights, or any rights of any person.
You will not post messages, pictures or recordings or use the service in anyway which:
1. Violates, plagiarizes, or infringes upon the rights of a third party, including but not limited to any copyright or trade-mark law, privacy or other proprietary rights, or
2. Is fraudulent or otherwise unlawful or violates and law or Act; and
You will not use the service to distribute, promote or publish otherwise any material solicitation for any funds contained within, advertising or solicitation of goods and services.
You will not use this service to distribute or up load any virus, Trojan horses or do anything else that may cause harm to the service, RecycledLives, Inc systems or to any other systems of members' in any way.

We will do our best to maintain the operation of the Web site for the Service, however, we may need to temporarily suspend the service for operational reasons (e.g. for repairs, planned maintenance or upgrades). We promise to restore the service as soon as possible after any suspension.

Catagories:

Users or potential users may become guests or Full Members of our service and site. Guests are allowed to access a minimum level of posting a profile features and are not charged by us for doing so, or the feature(s) they can access. Guests however provided they become full members with the full range of access to the additional features and potential future features of the service that are not available. We do not charge full members for the features normally allowed free to the guests Certain potential features of the service made available to full members are also free of charge. Certain other features of the service are "paid features", for which a full member is charged.

Your Use of the Service and Content Posted on the Site

Illegal and/or unauthorized uses of the Web site, including collecting usernames and/or email addresses of members by electronic or other means for the purpose of sending unsolicited email and unauthorized framing of or linking to the Web site will be investigated, and appropriate legal action will be taken, including without limitation, civil, criminal, and injunctive redress.
We are entitled to review and delete any content, messages, Whisper messages, photos or profiles (collectively, "Content") that in our sole judgment violate this Agreement or which might be offensive, illegal, or that might violate the rights, harm, or threaten the safety of other members.
You are solely responsible for the Content that you publish or display (hereinafter, "post") on the Service, or transmit to other members. The user waives any and all rights to any royalties for any photos or publications put on Recycledlives.com and any subsiduaries contained herein and therefore acknowledge that any rights and remedies are hereby forfeited and released by the user.
By posting Content to any public area of the Service, you automatically grant, and you represent and warrant that you have the right to grant, to us an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, copy, perform, display, and distribute such information and content and to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sublicenses of the foregoing.
We are entitled to investigate and revoke a person's membership if a member has misused the Service, or behaved in a way which could be regarded as inappropriate or whose conduct is unlawful or illegal. The following is a partial list of the type of Content that is illegal or prohibited on the Web site, Content that:
- expresses or implies that any statements you make are made or endorsed by us;
- is patently offensive to the online community, such as Content that promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
- harasses or advocates harassment of another person;
- involves the transmission of "junk mail", "chain letters," or unsolicited mass mailing or "spamming";
- promotes information that you know is false, misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;
- promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated music or links to pirated music files;
- contains restricted or password only access pages, or hidden pages or images (those not linked to or from another accessible page);
- displays pornographic or sexually explicit material of any kind; provides material that exploits people under the age of 18 in a sexual or violent manner, or solicits personal information from anyone under 18;
- provides instructional information about illegal activities such as making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses; solicits passwords or personally identifying information for commercial or unlawful purposes from other users; and
- engages in commercial activities and/or sales without our prior written consent such as datebaiting, contests, sweepstakes, barter, advertising, and pyramid schemes.
You must use the Service in a manner consistent with any and all applicable laws and regulations.
You may not include in your member profile (or transmit in any non-paying membership) any personal contact information, such as telephone numbers, street addresses, last names, URLs or email addresses.
You may not engage in advertising to, or solicitation of, other members to buy or sell any products or services through the Service. You may not transmit any chain letters or junk email to other members. Although we cannot monitor the conduct of our members off the Web site, it is also a violation of these rules to use any information obtained from the Service in order to harass, abuse, or harm another person, or in order to contact, advertise to, solicit, or sell to any member without their prior explicit consent. In order to protect our members from such advertising or solicitation, we reserve the right to restrict the number of emails that a member may send to other members in any 24-hour period to a number which we deem appropriate in our reasonable discretion

Benefit Program and payments:

Guests of the RecycledLives, Inc. service are required to set up an "AD Profile" in order to access the service. To activate additional features of the service guests may purchase a 1, 3, or 6. Full membership (unlimited mail messaging and up and coming cam features pay per use feature, may pay via credit card through a secured reputable site). All funds are quoted in Canadian AND United States currency. In addition to paying the published flat rate the purchaser is responsible for paying any or all applicable taxes in connection to they're purchase. We reserve the right to change our pricing policy and/or fees at anytime at our sole discretion with or without notice. Once we have confirmed payment of your purchase, we will credit your RecycledLives account with the number of months purchased. We reserve the right to change the method or manner in which we charge for our service at our sole discretion.

Where we receive a payment for an incorrect amount in non-CDN and US$ we will credit your account with a pro-rated flat rate corresponding to the funds received, and converted to US$ at reasonable exchange rate corresponding to rate at the time of purchase. You can confirm the expiry date of your account at any time by clicking on "Manage profile" or by sending an email to Manager@recycledlives.com

And providing us with your Ad profile number and account details. A full member whose account has lapsed will remain a guest member, but cannot access "paid Features" until they have purchased another monthly membership. If usage of the service for any reason is terminated because of a breach of this agreement or it is terminated for any reason then any unused time is immediately forfeited. Once successfully posted, we will monitor your account for usage and compliance of this agreement.

THE PURCHASE OF INITIAL AND RECURRING AD PROFILES ARE NON- REFUNDABLE. Accounts may not be transferred from one client to another client of the service. All fees are not refundable under any circumstance however can be used by you at any time. THIS SITE WILL NEVER AUTOMATICALLY RE-BILL YOU UNLESS YOU THE USER UTILIZE TO CHOOSE THIS OPTION WHEN YOU SIGN IN!

You agree to pay or have paid any or all fees and charges incurred in connection with this service (including and notwithstanding any applicable taxes) at the rates in effect whence the charges incurred. All Fees and charges are as stated non- refundable. We may alternatively change the fees and charges in effect for using the service, or reserve the right to add new fees or charges, by posting new fees and promotions on the site from time to time, you are also responsible for any fees or charges incurred to access the service through in internet access provider or other third party service, including but not limited to telephone charges. YOU, AND NOT WE, ARE RESPONSIBLE FOR PAYING ANY AMOUNTS BILLED TO YOUR CREDIT CARD OR BANK ACCOUNT BY A THIRD PARTY, WHICH WERE NOT AUTHORIZED BY YOU.

Refund Policy:

THE PURCHASE OF INITIAL AND RECURRING FEES IS/ARE NON- REFUNDABLE. Any refunds that are to be provided or possibly provided are at the sole discretion of RecycledLives, Inc. management.

Accessing and Updating Your Email Notification Preferences, Personal Information and Public Information:

You the user have the opportunity to opt-out of certain communications and modify personal information or demographic information you have provided to us, and to hide information visibly seen by the public users of RecycledLives, Inc website at anytime by going into the "manage profile" center sections of the site.

Please be aware that any changes to your information will take several hours to take effect on public areas of the system. Any changes deletions etc in our database will only change the data in our database for the purpose of future activities and communications. These changes will not change and emails queued to be sent or already sent.

Unsolicited Emails (SPAM)

RECYCLEDLIVES INC WILL Never send an unsolicited email at anytime for, any purpose (however be advised this does not include payment notifications or replies to emails) Any abuse or unsolicited emails in evidence that appears to have been initiated by us directly or indirectly should be brought to the attention of our security compliance officer by emailing DandJ@recycledlives.com

Privacy and Use of Information:

By providing the services you have also agreed to our privacy statement. You acknowledge that (a) we cannot ensure the security and privacy of information you provide through the Internet and your email messages and you release us from any and all liability in connection with the use of such information by other parties; (b) we are not responsible for, and cannot control, the use by others of any information which you provide to them and you should use extreme caution in selecting the personal information you provide to others through the service; and (c) we cannot assume any responsibility for the content of messages sent by other users of the service, and you release us from any and all liability in connection with the contents of any communications you may receive from the other users. We cannot guarantee, and assume, no responsibility for verifying, the accuracy of the information provided by other users of the services.

You the user or potential user may not use this service for any unlawful purpose. We may refuse to grant you an id or nom-du-guerre that impersonates someone else, is protected by trademark or proprietary law, or is vulgar or otherwise offensive, as determined by us in our sole capacity and discretion.

Our Responsibilities

We will operate the Web site for the Service with the reasonable skill and care of an online service provider.
We strive to maintain the operation of the Web site for the Service, however, we may need to temporarily suspend the service for operational reasons (e.g. for repairs, planned maintenance or upgrades). We promise to restore the service as soon as possible after any suspension.
We reserve the right to make changes to the Service from time to time provided that they do not have a material adverse effect on the quality of the Service.
If we cannot do what we have promised in this contract because of something beyond our reasonable control (including, without limitation, disputes involving our employees), we will not be liable for this.
We do not make it a practice for anyone of the Owners/Employees/Users of our site to engage into any "date baiting" activities.
Recycledlives.com™ have/has the fudiciary care to notify the users if any breach or compromise has been made regarding privacy.

Monitoring information:

We reserve the right to monitor all advertisements; public postings and messages to ensure that they conform to content guidelines, which may be applied form time to time.

Online researchers:

For any reason but to gain insight to the applied workings of our users we reserve the right to allow Online Hosts or researchers to come on the site with the intent of observational findings. And that there is neither invasion of privacy nor any explicated rights to the goings on within our site. But seeking to monitor any trends and compliance for our operating standards and code of conduct on our site.

Removal of Information:

While we do not and cannot review EVERY message or other materierial posted or sent by users of our service, and are not responsible for any content of these messages or materials, we however reserve the right, but are not obligated, to delete, alter, move, or edit messages or materials including without limitation to profiles, public postings and messages, that we in our sole discretion, deem to violate the codes of conduct set out above or any applicable content guidelines, or to be otherwise convolutedly unacceptable. You shall remain solely responsible for the content of profiles, public postings, messages, and other materials you may upload to the service or the users of the service.

Proprietary Information:

This service contains information, which is proprietary to our partners, our users, and us. We assert full copyright protection in the RecycledLives, Inc service. Information posted by us our partners or users of the service may be protected whether or not it is identified as proprietary to us or to them. You agree not to modify, copy or distribute any such information in any matter whatsoever without having expressed written permission and or confirmation of the owner of such information.

No responsibility:

You acknowledge that we are not responsible for any suspension of service in length and duration of time of the service, regardless of the cause of interruption or suspension. Any claim against us shall be limited to the amount paid, pro-rated if any, for use of the service during the previous month. We alternatively change or discontinue the service or availability to you at any time, and you may stop using the service at any time.

Termination of Access to service:

We may in our sole discretion, terminate suspend your access to all or part of the service at any time, with or without notice, for any reason, including, without limitation, any breach of this agreement. Without limiting the generality of the foregoing, any fraudulent abusive, or otherwise illegal activity, or may alternatively otherwise and illegal activity, or that otherwise may affect the overall enjoyment of the service or the internet by others maybe ground grounds for termination of your access to all or part of the service at our sole discretion, and you may be referred to the appropriate authorities or law enforcement agency.

Security:

Your account is private and confidential and should not be used by anyone else. You are solely responsible for all activity and usage on the service by users using your password, including and not limited to the use of your password by any third party.

This site has security measures in place to protect the loss, misuse, and alteration of the information under our control. These measures may include but are not limited to data encryption, packet filtering, password-based access controls, and the use of anti theft devices.

You warrant and release and waive any and all rights and any liabilities against Recycledlives, Inc. and its' companies.

Indemnity:

You agree to indemnify us, our officers, employees, agents and directors, officers, form any loss or damages, including without limitation reasonable legal fees, which we may suffer from your activities on or use of the service, including without limitation any breach by you of this Agreement or any charges, or complaints made by or from other parties against you. You shall cooperate as fully as reasonably required in the defense of any claim arisen. We reserve the right to assume the exclusive defense control of any matter otherwise subject to indemnification by you; however, provided, that you shall remain liable for any such claim.

No Warranties:

This service is provided on an "as is" basis. We do not warrant this service will be interrupted or error- free. Therefore, delays, omissions and interruptions, maybe in the availability of the service. Where permitted by law, you acknowledge that the service is provided without any warranties of any kind what so ever, either, expressed or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. You the user acknowledge that the use of the service is at your own risk. We do not represent or endorse the accuracy or reliability of any member profile, advice, opinion, statement(s) or other information to be displayed, uploaded or distributed through the service by RecycledLives, Inc, our partners, or any user of the service or any other person entity. You acknowledge that any reliance upon any such thought or opinion; member profile, advice, statement or information shall be at your own sole risk.

Your continued use of the service now, or following the posting of notice(s) of any changes in this Agreement, will constitute a legal and binding acceptance by you of this Agreement, or any subsequent modifications.

Modifications:

We may modify the Agreement from time to time. Our notifications of changes in this agreement will be posted on our service and/or sent alternatively via electronic mail, as we may determine in or at our sole discretion. If you do not agree to any modifications, you should terminate your use of service in writing via electronic mail your continued use of the service now or following the posting of notice of any changes in this Agreement, will constitute a binding acceptance from you of this Agreement, or any subsequent modifications.

Disclosure and Other Communication:

We reserve the right to send electronic mail to you, for the purpose of informing you of changes or additions to the service, or of any of the RecycledLives, Inc., related products and services. We reserve the right to disclose information about your usage of service and demography in forms that do not reveal your personal identity.

Any theft of telecommunications of the service will be prosecuted to the fullest extent of the law.

And by your use of the service, you consent to such disclosures and communications subject to the terms of our Privacy Statement.

Governed of Law:

This agreement is entered into/in the Province of Ontario, Canada. You agree that the laws of the Province of Ontario will govern it and any disputes arising out of this agreement will be subject to the courts of the Province of Ontario and Federal court where applicable Within the province. If any provision in this agreement is invalid or unenforceable under Applicable law, the remaining provisions will continue in full force and effect. The United Nations Convention on Contracts will not govern this agreement for the international sale of goods. Tous les Parties sont convenus que le contrat sera redigee en anglais.

The parties specifically hereby agree that the performance of this agreement, in all its aspects, does not take place outside the Jurisdiction of the Province of Ontario, Canada.

Assignment:

You do not have the right to assign this Agreement or any of your rights to the service to anyone. RecycledLives, Inc, has the right to assign any or all of it's rights and duties under this Agreement or to the Service to any third party where feasible. AT the election of RecycledLives, Inc., if RecycledLives, Inc., obligations hereunder are assumed by a third party, RecycledLives, Inc., shall be relieved of any and all liability under this Agreement.
